The E&E series is very helpful in prepping for exams. The summaries and charts make great aids in outlining. Debating the hypos on my own and with my study group really helped. Most exams are essay responses to hypotheticals, so the book prepares you well.

Far too in-depth for my Business Enterprises Course

A Prefatory Note: Corporate law is exceptionally muddy and varies significantly from state to state. There is a huge amount of blackletter; different Corporations courses therefore focus on disparate areas of law, while being forced to pick and choose amongst different states' approaches. My "Business Enterprises" course used the Klein casebook. Like many Corporations (or Business Enterprises) classes, my class focused on Delaware law, with some New York law thrown in.

This E&E has a formidable task - there are so many areas of law to address (and many different state approaches). The result may be good for some Corporations classes, but it wasn't good for mine. The material went too far in depth. It was unmanageable. I recommend buying it all the same, because it will provide clarity/familiarity with difficult topics. But I strongly recommend that you pair it with a Crunchtime, or another study aid that provides a more summary overview. Some areas, your professor will want in-depth treatment. For these, use the E&E. But only use it for those areas. You can't just work through the whole E&E as a preparation for your exam.

My biggest concern: the E&E failed to present policy objectively. There was a significant policy aspect to my course (as is probably common, because the law is in great flux). And the E&E does devote substantial attention to policy, often very well, but at times took an overly pro-big-business approach. At least for my course, the E&E was unreliable, failing to present both sides on policy issues and taking an overly pro-big-business stance.

Overall, this is one of those areas where you should really learn the cases. Buy the E&E, but also buy the crunchtime. Only use the E&E for areas your prof. really focuses on.

About the Author
Frank M. Burke, J.D., CPA, is a Managing General Partner of Burke, Mayborn Company, Ltd., a private investment firm. Mr. Burke serves, or has served, on 13 public company boards of directors and audit committees, chairing nine of those committees. He also serves, or has served, on numerous private company and not-for-profit boards. Prior to the creation of Burke, Mayborn Company in 1984, Mr. Burke was a partner in Peat, Marwick, Mitchell & Co. (now KPMG) and served as Chairman-Energy Group for Peat Marwick International. He also served on the board of directors of Peat, Marwick, Mitchell & Co. for six years. Over the past 30 years, Mr. Burke has written seven books and over 100 articles on various business, financial and tax subjects. Mr. Burke received his BBA and MBA from Texas Tech University and his J.D. from Southern Methodist University. Dan M. Guy, Ph.D., CPA, has a practice limited to litigation services and specializes in auditor malpractice and ethical issues. He frequently testifies about auditing and accounting matters when retained as an expert by both plaintiffs and defendants. He completed an 18-year career with the AICPA in January 1998, where he was Vice-President-Professional Standards and Services, having overall responsibility for, among other things, the Auditing Standards Board and international auditing matters. Mr. Guy is also the author of 11 books dealing with auditing issues. Prior to joining the AICPA in 1979, Dr. Guy was a professor of accounting at Texas Tech University and a visiting professor at the University of Texas at Austin. He was also in public accounting with Peat, Marwick, Mitchell & Co. He received his Ph.D. at the University of Alabama. Contributing Author Kay W. Tatum, Ph.D., CPA is chair of the department of accounting at the University of Miami in Coral Gables, FL. Professor Tatum earned her Ph.D. in accounting at Texas Tech University. She is an active member of the AICPA and the American Accou

This book is not current with the Text it supports. Large revisions in 2007 of the FRCP and subsequently the textbook make this book not as useful. Many of the newer cases in the text are not in this supplement and of course many that appear in this book are no longer relevant or are superfluous. Somewhat helpful, but not what I was looking for.

Don't Settle for Imitations

Whether you are the law student to whom the book is addressed, or just a savvy layman who needs to fill some gaps quickly, this book just may be all you'll ever need on wills, trusts, and estates. I ordered ten books to research my paper on inter vivos trusts and over half the footnotes reference Dukeminier. In each topical area, the general statutes are explained, often with ancillary explanations of tax treatment, then the authors dive into cases, explaining how the cases were argued and adjudicated. The text flows so well that you feel as though you are having a conversation with the authors. I particularly enjoyed the entertaining anecdotes drawn from pop culture. Do not let the cost of this book be a factor in your decision to purchase it; you may find yourself refering to it when you attend to your own will, trusts, and estate.

Exceptionally Well Written

Rarely have I read a casebook with as much useful commentary, attempts at light-heartedness, and acual decent backgrounds (and follow-ups) on various cases as this one. It shouldn't be confused with a page turner by any means, but it isn't painful to read, and is very insightful.

This is considered the premier casebook on the subject, and with good reason.

Unnecessary update

This book is a good book, but the update is not needed. My friend next to me in class has the seventh edition of this text and comparing the eighth edition to the previous it is obvious that the publisher is just going after more money. So few pages have been updated, so few cases have been added, they could have easily issued a paperback supplement to the seventh edition and saved students money. Putting my objections to how the textbook industry operates aside, this book is a decent read. The authors do a good job of explaining the law and the cases are edited fairly well. I'm in my third year of law school and have had several different texts by now. I would place this one on the better end. The text itself - 7 of 10. Was it a necessary update - 0 of 10.
